Terms of Service for Something

Version 0.1 · Last updated 30 October 2026 ·

Draft. Written for review by BAARS DESIGN and its lawyer before publication. Nothing here is legal advice. Text in [square brackets] is a placeholder. Lines marked “Decision” need an answer from the owner. Lines marked “Lawyer” need a legal check. Remove all callouts before publishing.

These terms are a contract between you and BAARS DESIGN for the use of Something, a macOS app that lets you change a web product on a canvas and send the result to a developer as a pull request.

By creating an account, buying a plan, or using the app, you accept these terms. If you accept them for a company, you confirm you are allowed to bind that company.

1. Who we are

BAARS DESIGN is a sole proprietorship (enkeltpersonforetak) registered in Norway.

Decision: which email address is the published contact for Something. The admin policy (2026-08-10) makes ronald@baars.design the business address. A product alias is cleaner.

2. A few definitions

  • App: the Something desktop application for macOS, including updates.
  • Service: the App together with the account, billing and team features we run for it.
  • Plan: Free, Solo, Team or Enterprise, as described on the pricing page.
  • Editor seat: the right for one named person to send changes from the App. Reviewers who only look at pull requests on GitHub need no seat and no account.
  • Organisation: a team account that holds seats and members.
  • Customer content: the project files, code, designs, prompts, branches and pull requests you work on with the App.
  • Consumer: a natural person who buys the Service for purposes that are mainly outside their trade or profession.
  • Business customer: anyone who is not a consumer.

3. Who may use the Service

You must be at least 18 years old to buy a plan. Using the Free plan with an account requires that you are at least 13, which is the age at which Norwegian law lets a person consent to an online service themselves (personopplysningsloven § 5). The Service is built for professional use.

Lawyer: whether to set a flat 18+ rule for all accounts. The sign-in providers (Google, Apple) do not tell us a user’s age.

4. Accounts

You can use most of the App without an account. An account is needed for paid plans, teams, and the features listed on the pricing page.

You sign in with Google, Apple, or a code sent to your email. The App stores your session in your Mac’s keychain and never writes it to a file. Keep your Mac and your sign-in method secure. Tell us at once if you think someone else is using your account.

An organisation’s owner or admin controls who is a member and who has a seat. When you join an organisation with your account, that organisation’s admins can see your name, email and seat status, and can remove you.

You can delete your account at any time from Settings or by emailing us. Deleting the account does not delete anything on your Mac. See the Privacy Policy for what we keep afterwards.

5. The licence

We grant you a personal, non-exclusive, non-transferable licence to install and use the App on Macs you control, for the plan you hold, for as long as these terms are in force.

You may not, except where the law allows it regardless of this clause:

  • copy, sell, rent, sublicense or redistribute the App;
  • remove or change notices in the App, or its code signature;
  • work around the plan checks in the App;
  • use the App to build a competing product by copying its design or behaviour;
  • use the Service in a way that breaks the Acceptable Use Policy.

Plugins you write with the plugin system are yours. The plugin interfaces are published so that you can build on them.

The App bundles open-source components under their own licences. A list is in the App under [About > Open source licences].

Lawyer: reverse-engineering clauses are limited in Norway by åndsverkloven (interoperability and error correction). The “except where the law allows it” wording is there for that reason.

6. Plans, seats and trials

Free. One saved project. You can edit, branch, commit and send pull requests to repositories owned by a personal GitHub account. Free plans are for individuals.

Solo. One editor seat for one person. Up to five projects. Pull requests to repositories owned by organisations and to self-hosted code hosts.

Team. Editor seats for a team, with a minimum of three seats. Unlimited projects, linked design-system repositories, an organisation with invites and seat management.

Enterprise. Team plus single sign-on, directory sync, audit log, invoice billing, and a signed contract. Enterprise is sold under a separate agreement that takes precedence over these terms where they differ.

Seats are per named person. You can reassign a seat to a different person at any time; the removed person loses access when their App next checks in, which is within 24 hours. Sharing one seat between several people is not allowed.

Trial. An organisation can start one 14-day Team trial without a payment card. The trial ends automatically unless you buy a plan. Nothing you made during the trial is lost; the App falls back to the Free plan.

Reviewers are free. A developer who reviews or merges your pull request on GitHub does not need a seat, an account, or the App.

Offline use. The App verifies your plan with a signed token that is valid for 7 days and is renewed in the background. If your Mac is offline, paid features keep working for a further 14 days after the token expires. After that the App falls back to the Free plan until it can reach our server. Nothing on your Mac is locked or deleted because of billing.

Decision: the 7 + 14 day numbers follow the recommended option in docs/AUTH-AND-BILLING.md § 5.1. Other options listed there are 7 + 7 and 30 + 30.

7. Prices, payment and taxes

Prices. Current prices are on the pricing page. At the time of this draft the planned prices are: Solo $19 per editor per month, or $15 per month when billed yearly; Team $39 per editor per month, or $32 per month when billed yearly, minimum three seats; Enterprise from $65 per editor per month, billed yearly, by quote. Local prices in EUR, NOK and GBP may be offered as fixed prices, not live conversions.

Taxes. Prices shown to business customers exclude VAT and similar taxes. Prices shown to consumers include VAT where we are required to charge it. Tax is calculated at checkout from your billing address and, for businesses, your VAT number. Business customers in the EU and other countries with reverse charge are responsible for accounting for VAT under their own rules when they give us a valid VAT number.

Lawyer and accountant: BAARS DESIGN is not registered in the Norwegian VAT register as of 2026-10-30 (Brreg API, registrertIMvaregisteret: false), and holds no EU non-Union OSS registration that we could find (BAARS DESIGN/finance/README.md, unverified by any public register). Until the registrations exist, no VAT can lawfully be charged or shown as charged. The wording above assumes both registrations are in place at launch. Confirm the sequencing.

Payment. Payments are processed by Stripe. We do not see or store your full card number. You authorise us to charge your payment method for each billing period and for any seats added during a period. Added seats are charged pro rata for the rest of the current period.

Renewal. Plans renew automatically at the end of each monthly or yearly period until you cancel. We will send a reminder by email before a yearly renewal, at least [30] days ahead.

Failed payments. If a payment fails we retry it and email you. Your plan stays active for a grace period of [14] days. If payment still fails, the plan is cancelled and the App falls back to the Free plan. Nothing on your Mac is affected.

Price changes. We can change prices. For an existing subscription the new price applies from the next renewal after we have given you at least 30 days’ notice by email. If you do not agree, cancel before the renewal and you will not be charged the new price. For yearly plans the current price is locked until the end of the paid year.

Invoices. Each payment produces an invoice or receipt you can download from the billing portal. Norwegian business customers may receive their invoice as an EHF e-invoice where the law requires it.

Currency and fees. Your bank may charge conversion or foreign-transaction fees. Those are not ours.

Decision: the renewal reminder lead time ([30] days) and the grace period ([14] days). Stripe’s defaults can be set to match either number.

8. Cancellation and refunds

You can cancel a plan at any time in the billing portal or by email. Cancelling stops the next renewal. Your paid features keep working until the end of the period you have already paid for.

Our refund rules, including the 14-day right of withdrawal for consumers under Norwegian law, are in the Refund and Cancellation Policy. That policy is part of these terms.

9. Your content and your code

It stays yours. You own your customer content. We claim no rights in your code, designs, prompts or pull requests.

It stays on your Mac. The App works on files on your Mac. Your project files, code, prompts and AI responses do not pass through BAARS DESIGN’s servers. The things that do reach us are listed in the Privacy Policy: account details, plan state, organisation membership, and counts such as how many pull requests a seat sent.

No training. We do not use your content to train AI models, and we have no access to it to do so. Your AI provider’s rules on training are between you and that provider; see section 10.

Your responsibility. You are responsible for having the right to change the repositories you open with the App and to send pull requests to them.

10. AI engines are yours, not ours

The App does not include an AI model and does not carry an AI key of BAARS DESIGN.

To use AI features, you connect your own engine: a Claude Code, Codex or Gemini CLI subscription already installed on your Mac, or an API key from Anthropic, OpenAI or Google that you store in your Mac’s keychain. When you use those features, your code, prompts and context go straight from your Mac to the provider you chose, under that provider’s terms and privacy policy. BAARS DESIGN is not a party to that traffic and cannot see it.

This has three consequences:

  • Any cost for AI usage is between you and your provider.
  • AI output can be wrong. The App shows you every change before it is committed or sent, and a developer reviews the pull request. You are responsible for reviewing changes before you merge them into your product.
  • If your provider is down or refuses a request, AI features in the App will not work. That is not a defect in the Service.

11. Third-party services

The Service connects to services run by others:

  • GitHub for listing your repositories and, through the GitHub CLI on your Mac, for pushing branches and creating pull requests. You use your own GitHub account and your own token, stored in your Mac’s keychain. GitHub’s terms apply to your use of GitHub.
  • Google and Apple for sign-in, if you choose them.
  • Stripe for payments.
  • Your AI provider, as described in section 10.

We are not responsible for those services, their availability, or changes they make. If a change on their side breaks a feature, we will try to fix the feature within a reasonable time.

12. Updates

Installed copies of the App check for updates about 30 seconds after start and every four hours, and download them in the background. The App never restarts by itself; you choose when to install. We may require you to install an update to keep using paid features, for example to fix a security issue, with reasonable notice.

Updates can add, change or remove features. We will not remove a feature that is central to a plan you have paid for during the paid period without offering you a refund for the rest of that period.

Lawyer: for consumers, digitalytelsesloven §§ 41 and 42 govern changes to an ongoing digital service (allowed only with a basis in the contract, at no cost, with clear notice, and with a termination right when the change is more than insignificantly negative). The paragraph above is drafted to meet that.

13. Beta features

Features marked beta, preview, or experimental may be incomplete, change without notice, or be withdrawn. They are provided as they are, without the warranties in section 15, to the extent the law allows. Do not rely on a beta feature for anything you cannot afford to lose.

14. Availability and support

The App runs on your Mac and most of it works without our servers. Sign-in, plan changes, teams and billing depend on our servers and on Stripe, Supabase and GitHub.

We aim to keep those services available, but we make no uptime promise and offer no service level agreement except in a signed Enterprise agreement. Planned maintenance is announced where it affects sign-in or billing.

Support is by email. Solo plans get email support; Team plans get priority email support; Enterprise gets a named contact and the response times in the Enterprise agreement. Free plans may use the community channels we list on the website.

15. Warranties

For business customers. The Service is provided as it is and as available. We do not warrant that it is error-free, that it will meet your requirements, or that pull requests it produces are correct. We exclude all implied warranties to the extent the law allows.

For consumers. Nothing in these terms limits the rights you have under Norwegian consumer law, including digitalytelsesloven (the Act on the supply of digital services to consumers). If the Service does not conform to the contract, you have the remedies that law gives you.

16. Limitation of liability

To the extent the law allows:

  • We are not liable for indirect or consequential loss, lost profit, lost revenue, lost data, or business interruption.
  • Our total liability to you for all claims in any 12-month period is limited to the amount you paid us for the Service in that period, or [NOK 1,000] if you paid nothing.
  • We are not liable for the content, availability or behaviour of third-party services, including your AI provider and GitHub, or for changes you merge into your product.

These limits do not apply to liability that cannot be limited by law, including liability for gross negligence or intent, and they do not limit the rights of consumers under mandatory law.

Decision: the liability cap. Options are 12 months of fees (common for SaaS), a fixed amount, or the greater of the two. BAARS DESIGN is a sole proprietorship, so the owner is personally liable for the business. A clear, enforceable cap matters more here than in a limited company. Lawyer: enforceability of the cap under Norwegian law (avtaleloven § 36 can set aside unfair terms) and in the main customer countries.

17. Indemnity by business customers

If you are a business customer, you will defend and compensate us against third-party claims that arise from your customer content, your use of the Service in breach of these terms, or your breach of the law, except to the extent the claim was caused by us.

18. Suspension and termination

By you. Cancel at any time (section 8). Delete your account at any time (section 4).

By us. We can suspend or end your access if you materially breach these terms, do not pay, or use the Service in a way that harms others or the Service. Where reasonable we will warn you first and give you a chance to fix the problem. If we end the contract without you being in breach, we refund the unused part of any period you have paid for.

What survives. Sections on your content, liability, indemnity, governing law, and anything else that by its nature should survive, survive termination. Everything on your Mac stays on your Mac.

19. Changes to these terms

We can change these terms. For material changes we will email account holders and show a notice in the App at least 30 days before the change takes effect. If you do not agree, cancel before the change takes effect. Continuing to use the Service after that date means you accept the new terms. Changes required by law or to add a new feature can take effect sooner.

Each version of these terms is dated. Earlier versions are available on request.

20. Governing law and disputes

These terms are governed by Norwegian law.

Business customers agree that disputes are brought before [Oslo tingrett] as the agreed venue, unless mandatory law provides otherwise.

Consumers keep the right to bring a case in the courts of the country where they live, and to use the mandatory consumer protection rules of that country where they are more favourable. Consumers in Norway can also ask Forbrukertilsynet for mediation at https://www.forbrukertilsynet.no/send-sak-til-mekling.

Decision: the agreed venue. Oslo tingrett is the usual choice for a Norwegian SaaS vendor. The company’s home court by address (Nesodden) is a different district. Lawyer to confirm the court name and whether an agreed venue is useful for a sole proprietorship.

21. If you are a consumer

Most of these terms apply to everyone. These points apply only to consumers:

  • You have a 14-day right of withdrawal under angrerettloven, as described in the Refund and Cancellation Policy.
  • The warranty exclusions in section 15 and the liability limits in section 16 apply only so far as consumer law allows.
  • Changes to the Service follow digitalytelsesloven §§ 41 and 42 (section 12).
  • The venue clause in section 20 does not bind you.

22. Enterprise agreements

Enterprise customers sign an order form and, where personal data is processed on their behalf, the Data Processing Agreement. Where an Enterprise agreement conflicts with these terms, the Enterprise agreement wins.

23. Other terms

  • These terms, the Refund and Cancellation Policy, the Acceptable Use Policy, the Privacy Policy and, for Enterprise, the signed agreement, are the whole contract between us.
  • If a clause is found invalid, the rest stays in force.
  • We can transfer this contract to a company that takes over the business of BAARS DESIGN, with notice to you. You cannot transfer it without our consent.
  • We are not liable for delays caused by events outside our reasonable control.
  • These terms are written in English. [A Norwegian translation may be provided; the English version governs for business customers.]

Lawyer: whether a Norwegian-language version is required or advisable for Norwegian consumers. markedsføringsloven does not require it as such, but clarity toward consumers is assessed in the language they can be expected to understand.
